TERMS OF SERVICE

1. Acceptance of Terms

By accessing or using this website or engaging our services, you ("Client," "User," or "Visitor") agree to be bound by these Terms of Service ("Terms") and all applicable laws. If you do not agree, do not access this website or engage our services.

2. Scope of Services

GMX North America, LLC ("Company," "we," "us," or "our") provides consulting, strategic communications, public relations, crisis management, authorized agent representation, advisory, branding, and related services (the "Services"). Specific scope, deliverables, and fees shall be detailed in individual service agreements, statements of work (SOWs), or engagement letters executed by the parties.

No legal, medical, financial, or licensed professional services are provided unless expressly stated in writing and performed by duly licensed individuals.

3. No Legal or Professional Representation

Unless expressly agreed to in a written agreement executed by both parties, the Company does not act as legal counsel, medical provider, or financial advisor. Clients are solely responsible for securing independent legal, financial, medical, or other professional advice.

4. Client Representations

Clients represent and warrant that:

  • They have the full authority to enter into binding agreements.

  • They provide accurate, lawful, and non-infringing information.

  • They will not request or direct the Company to perform any unlawful, defamatory, deceptive, or unethical act.

  • They assume full responsibility for all materials, data, and content provided.

5. Confidentiality

The Company will maintain the confidentiality of proprietary information disclosed by the Client. Confidentiality obligations shall not apply to publicly available information, information independently developed by the Company, or as required by law or legal process.

The Client acknowledges that certain creative campaigns may involve public exposure, advocacy, or media visibility as part of agreed strategies.

6. Intellectual Property

All materials created by the Company during performance of services, unless otherwise agreed, remain the sole property of GMX North America, LLC until paid in full. Upon full payment, ownership rights may transfer to the Client as expressly outlined in a written agreement.

The Company retains the right to display anonymized case studies or results for marketing purposes unless prohibited by confidentiality agreements.

7. Limitation of Liability

To the fullest extent permitted by law:

  • The Company, its employees, contractors, officers, and affiliates shall not be liable for indirect, incidental, special, consequential, or punitive damages.

  • Total liability shall not exceed fees actually paid by the Client for the specific services giving rise to the claim.

  • The Client assumes full responsibility for the consequences of public-facing campaigns, including but not limited to media, social media, and digital advocacy exposure.

8. Indemnification

Client agrees to indemnify, defend, and hold harmless GMX North America, LLC, its employees, contractors, officers, and affiliates from any claims, losses, liabilities, damages, costs, or legal expenses arising out of:

  • Client’s breach of these Terms;

  • Client’s violation of law, regulation, or third-party rights;

  • Content provided by Client; or

  • Actions taken at the direction of Client.

9. Dispute Resolution & Governing Law

These Terms shall be governed by the laws of the State of Wyoming, without regard to conflict of law principles. Any disputes shall be resolved exclusively in the state or federal courts located in Wyoming. Client consents to personal jurisdiction therein.

10. Employment & Independent Contractor Disclaimer

No employee, consultant, or contractor of GMX North America, LLC may be contacted or solicited directly by clients for employment or engagement outside of the Company without prior written consent.

11. Force Majeure

The Company shall not be liable for delays or failures resulting from causes beyond its reasonable control, including acts of God, war, terrorism, cyberattacks, labor disputes, governmental orders, or natural disasters.

12. Modification of Terms

We reserve the right to modify these Terms at any time. Continued use of the website or services constitutes acceptance of any updates.
